Welcome to Bid The Best. These Terms of Service ("Terms") govern your access to and use of the Bid The Best platform, website, and related services (collectively, the "Service") operated by Bid The Best ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
"Platform" refers to the Bid The Best website, mobile applications, and any associated tools or services.
"Organizer" refers to any individual or entity that creates events and lists auction items (seats, tables, VIP access, or other event-related inventory) on the Platform.
"Bidder" or "Attendee" refers to any individual who places bids on auction items through the Platform.
"Auction" refers to the competitive bidding process through which Bidders compete to secure event seats, tables, or other inventory listed by an Organizer.
"Entry Pass" refers to the digital verification credential generated upon a successful winning bid, used for event entry.
2. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Account Registration
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.
4. How the Platform Works
4.1 For Organizers
Organizers can create events, configure venue layouts using our floor plan builder, and list seats, tables, or VIP sections for auction. Organizers set the starting bid price, minimum bid increment, auction duration, and any special conditions for each auction item.
4.2 For Bidders
Bidders browse available events and place bids on their preferred seats, tables, or sections. Each bid must meet or exceed the current highest bid plus the minimum increment set by the Organizer. Bids are binding commitments to purchase at the bid price if the bid is the winning bid.
4.3 Winning Bids
When an auction closes, the highest valid bid wins. The winning Bidder's payment method is charged the winning bid amount plus any applicable fees. An Entry Pass is generated and delivered to the winning Bidder for event access.
5. Fees and Payments
5.1 Organizer Fees
Organizers are charged a commission on each successful auction transaction. The commission rate depends on the Organizer's subscription tier (Starter: 5%, Performance: 3.5%, Enterprise: custom). Full pricing details are available on our Pricing page.
5.2 Bidder Payments
Winning Bidders are charged the full winning bid amount at auction close. Payment is processed through our third-party payment processor. By placing a bid, you authorize us to charge your payment method if your bid wins.
5.3 Refunds
Refunds are subject to the Organizer's cancellation and refund policy, which is displayed on each event page. If an event is cancelled by the Organizer, winning Bidders will receive a full refund. Bid The Best does not issue refunds for Bidder-initiated cancellations unless the Organizer's policy allows it.
6. Auction Rules
- All bids are final and binding once placed.
- Bid sniping protection: auctions may use a "soft close" mechanism where a bid placed in the final minutes extends the auction duration.
- Shill bidding (bidding on your own auction to inflate prices) is strictly prohibited and may result in immediate account termination.
- Collusion between Bidders or between Organizers and Bidders is prohibited.
- We reserve the right to void any auction or bid that we reasonably believe violates these Terms or applicable law.
7. Entry Pass and Event Access
Entry Passes are non-transferable unless the Organizer enables transfers. Each Entry Pass contains a dynamic QR code and verification code that is validated at the event entrance through our Gate Mode system. Attempting to duplicate, forge, or tamper with an Entry Pass is a violation of these Terms and may constitute fraud.
8. Organizer Responsibilities
Organizers are solely responsible for the accuracy of event information, the fulfillment of the event experience, and compliance with local laws and regulations governing their events. Bid The Best acts as a platform facilitator and is not the event organizer or promoter.
9. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Manipulate auctions through shill bidding, bid rigging, or other deceptive practices.
- Create multiple accounts to circumvent bidding limits or restrictions.
- Interfere with or disrupt the Service, servers, or networks connected to the Service.
- Attempt to gain unauthorized access to any part of the Service or other users' accounts.
- Use automated tools, bots, or scripts to interact with the Service without our prior written consent.
- Resell or redistribute Entry Passes outside the Platform unless expressly permitted.
10. Intellectual Property
The Service, including all content, features, functionality, design, and branding, is owned by Bid The Best and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Bid The Best and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of revenue, loss of data, or event cancellations.
Our total liability to you for any claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Bid The Best and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation. If the dispute cannot be resolved informally within thirty (30) days, it shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body in the jurisdiction where Bid The Best is registered.
14. Termination
We may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Any obligations that have accrued prior to termination (including payment obligations and pending auction results) shall survive termination.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Bid The Best is incorporated, without regard to its conflict of law provisions.
